VSB provides software access, data, automation systems, consulting, and done-with-you / done-for-you services, which may include:

Buyer intent data and homeowner/business datasets

CRM and automation infrastructure

Messaging, calling, and workflow systems

Consulting, onboarding, and strategic guidance

Hiring, training, or operational support (where applicable)

We do not guarantee results, revenue, appointments, sales, or profitability unless explicitly stated in a written agreement signed by both parties.

3. No Legal, Financial, or Compliance Advice

VSB does not provide legal, tax, financial, or regulatory advice.

You acknowledge and agree that:

You are solely responsible for compliance with all applicable laws, including but not limited to TCPA, CAN-SPAM, A2P messaging rules, carrier policies, state laws, and federal regulations

You are responsible for obtaining proper consent from leads and contacts

VSB is not responsible for how you use data, software, or communications tools

Use of our Services is at your own risk.

4. Account Registration & Responsibilities

You may be required to create an account to access certain Services.

You agree to:

Provide accurate and current information

Maintain the security of your login credentials

Be fully responsible for all activity conducted through your account

We reserve the right to suspend or terminate accounts for misuse, non-payment, or violations of these Terms.

5. Payments, Fees, and Billing

A. Fees

All prices, setup fees, subscriptions, usage fees, and service costs are disclosed at checkout, in proposals, or in written agreements.

Unless otherwise stated:

All fees are non-refundable

Payments are due in advance

Subscription fees recur automatically until canceled

B. Chargebacks & Disputes

Initiating a chargeback without first contacting support constitutes a material breach of these Terms.

We reserve the right to:

Suspend services during disputes

Recover associated costs

Provide evidence to payment processors

6. Refund & Cancellation Policy

Unless explicitly stated otherwise in writing, all sales are final.

Refunds, guarantees, or performance assurances apply only if clearly documented in a signed agreement or offer terms.

Failure to use the Services, lack of results, or user error does not constitute grounds for a refund.

7. Data & Intellectual Property

A. Ownership

All software, workflows, systems, content, processes, and materials provided by VSB are the exclusive property of TOFF EQUITIES LLC.

You receive a limited, non-exclusive, non-transferable license to use the Services during your active subscription or agreement period.

B. Restrictions

You may not:

Resell, sublicense, or redistribute our systems or data

Reverse engineer or copy proprietary workflows

Share access credentials with unauthorized users

8. Third-Party Tools & Integrations

Our Services may integrate with third-party platforms (e.g., CRMs, dialers, messaging providers, data vendors).

We are not responsible for:

Downtime or failures of third-party services

Changes to third-party pricing or policies

Actions taken by third-party providers

Your use of third-party tools is subject to their own terms.

9. Limitation of Liability

To the maximum extent permitted by law:

VSB and TOFF EQUITIES LLC shall not be liable for:

Lost profits or revenue

Business interruption

Data loss

Indirect, incidental, or consequential damages

Our total liability, if any, shall not exceed the amount paid to us in the 30 days preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless TOFF EQUITIES LLC, VSB, its officers, employees, and contractors from any claims, damages, losses, or expenses arising from:

Your use of the Services

Your communications or campaigns

Your violation of laws or regulations

Your breach of these Terms

11. Termination

We may suspend or terminate your access to the Services at our discretion for:

Non-payment

Abuse or misuse

Violation of these Terms

Legal or compliance risk

Upon termination, all licenses immediately end.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of the United States where TOFF EQUITIES LLC is registered, without regard to conflict of law principles.

13. Modifications

We reserve the right to modify these Terms at any time.

Updates will be effective upon posting.

Continued use of the Services constitutes acceptance of the revised Terms.
